KSD GovCon LLC – Terms of Sale and Manufacturer Compliance

KSD GovCon LLC is a Service-Disabled Veteran-Owned Small Business (SDVOSB) that supplies goods to the U.S. Department of Defense, the Department of Veterans Affairs, and other federal agencies. All manufacturers and suppliers working with KSD GovCon LLC must adhere to applicable U.S. government procurement laws and regulations, including the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), the Trade Agreements Act (TAA), the Buy American Act (BAA), the Berry Amendment, and the Kissell Amendment.

1. Country of Origin Requirements

We prioritize products manufactured in the United States or in TAA-designated countries as defined under FAR 25.003. Products manufactured in non-compliant countries, including China, India, or Russia, will not be accepted unless a formal waiver is approved by the procuring agency. No supplier should assume waiver approval will be granted. KSD GovCon LLC does not submit offers based on non-compliant country of origin products unless full documentation has been obtained and authorization is in place.

2. Alternate Offers and Waiver Submission

If a TAA-compliant or domestic version of a product is not available, KSD GovCon LLC may submit an alternate offer. All alternate offers must meet or exceed the form, fit, and function of the original item. The country of origin must be disclosed at the time of quotation. If a waiver is required, KSD GovCon LLC will notify the contracting officer and will only proceed if written approval is obtained. Alternate offers are submitted in accordance with FAR, DFARS, and all applicable acquisition rules. Substitutions will not be made without full transparency and legal compliance.

3. Certifications and Documentation Requirements

The following documents must be provided with every shipment or upon request:

  • Certificate of Conformance (CoC)
  • Material Certifications
  • RoHS and REACH Compliance Statements, where applicable
  • ​Full traceability documentation, including lot numbers and country of origin
These documents must be included. Failure to provide required documentation may result in contract non-compliance and exclusion from future procurement opportunities.

4. Defense Priorities and Allocations System (DPAS) Ratings

If a contract is issued with a DPAS priority rating, KSD GovCon LLC will only use manufacturers who formally acknowledge and accept DPAS-rated orders. If a supplier cannot comply with DPAS terms, their product will not be used unless a formal waiver is obtained from the contracting authority before fulfillment.
For contracts involving DPAS, TAA, BAA, Berry Amendment, or Kissell Amendment restrictions, KSD GovCon LLC may pursue a waiver if no compliant product is available or if the urgency of the mission demands flexibility. However, waiver approval is not guaranteed. To maximize award competitiveness, all suppliers are strongly encouraged to provide U.S.-manufactured goods and maintain strict compliance with FAR and DFARS sourcing rules.
It is critically important that the country of origin is disclosed at the time of quote submission. Failure to provide this information may result in automatic disqualification of the bid or a finding of non-compliance. KSD GovCon LLC will not submit any offer to the government without clearly stated origin data to ensure full compliance with all federal acquisition laws and regulations.

5. Legal Jurisdiction and Compliance Standards

These terms are governed by the laws of the State of Indiana and by all applicable federal procurement regulations. KSD GovCon LLC reserves the right to reject any partnership or quote that does not meet our compliance standards or federal requirements.
